Refund, Cancellation & Chargeback Policy


Effective Date: December 19, 2025


IMPORTANT NOTICE: THIS IS A STRICT NO-REFUND POLICY. BY PURCHASING OUR SERVICES, YOU ACKNOWLEDGE AND AGREE THAT ALL SALES ARE FINAL. PLEASE READ THIS ENTIRE POLICY BEFORE MAKING A PURCHASE.


1. POLICY OVERVIEW

Mindful Farms operates in specialized technology services for regulated industries. Due to the nature of our business, the immediate commencement of work upon order confirmation, and the inherent risks associated with serving high-risk industries, we maintain a strict no-refund policy. This policy is designed to protect both our business and our clients from fraud, abuse, and financial harm.


ALL PAYMENTS MADE TO MINDFUL FARMS ARE FINAL AND NON-REFUNDABLE UNLESS OTHERWISE SPECIFIED IN WRITING BY AN AUTHORIZED REPRESENTATIVE OF MINDFUL FARMS.


2. SERVICES AND REFUND TERMS

2.1 One-Time Setup Fees

Status: NON-REFUNDABLE


One-time setup fees compensate Mindful Farms for the immediate allocation of resources, server provisioning, account configuration, and administrative work that begins upon order confirmation. These fees are non-refundable under all circumstances, including but not limited to:


(a) Client cancellation for any reason after order confirmation


(b) Client’s failure to provide required documentation or information


(c) Client’s business closure, license revocation, or change in legal status


(d) Client dissatisfaction with services


(e) Termination by Mindful Farms due to client violation of Terms of Service

2.2 Monthly Hosting and Recurring Fees

Status: NON-REFUNDABLE


Monthly hosting fees are billed in advance for the upcoming service period. Once a billing cycle has commenced, the fee for that period is non-refundable regardless of:


(a) Early cancellation during the billing period


(b) Partial use of services during the billing period


(c) Service interruptions caused by client actions or third-party factors


(d) Client’s failure to utilize the services


(e) Account suspension due to policy violations or non-payment


No prorated refunds will be issued for partial months under any circumstances. Upon cancellation, services will remain active until the end of the current paid billing period, after which access will be terminated.


2.3 Ad Hoc and Project-Based Services

Status: NON-REFUNDABLE ONCE WORK COMMENCES


Fees for ad hoc services including but not limited to website development, design work, SEO services, consulting, migrations, and custom projects are non-refundable once work has commenced. Work is deemed to have commenced upon the earlier of:


(a) written confirmation from Mindful Farms that work has begun;


(b) 24 hours after order confirmation; or


(c) delivery of any preliminary work product.


For projects requiring deposits, all deposits are non-refundable and will be applied toward the final invoice. Cancellation of a project in progress will not result in refund of any amounts paid, and client remains responsible for payment of all work completed up to the cancellation date.


3. CHARGEBACK AND DISPUTE POLICY


IMPORTANT: INITIATING A CHARGEBACK WITHOUT FIRST CONTACTING MINDFUL FARMS IS CONSIDERED A BREACH OF THIS AGREEMENT AND MAY RESULT IN IMMEDIATE SERVICE TERMINATION, COLLECTION ACTIONS, AND LEGAL REMEDIES.


3.1 Mandatory Dispute Resolution Process


Before initiating any chargeback, dispute, or payment reversal with your financial institution, credit card company, or payment processor, you MUST first contact Mindful Farms directly to attempt resolution. This is a mandatory prerequisite and a material term of our service agreement.


To initiate a billing dispute, you must:


(a) Contact Mindful Farms in writing via email within seven (7) days of the charge in question


(b) Provide your account information, the date and amount of the charge, and a detailed explanation of the dispute


(c) Allow Mindful Farms fourteen (14) business days to investigate and respond to your dispute


(d) Cooperate fully with any information requests during the investigation


Failure to follow this dispute resolution process before initiating a chargeback constitutes a material breach of this agreement.


3.2 Consequences of Unauthorized Chargebacks

If you initiate a chargeback, dispute, or payment reversal without first completing the mandatory dispute resolution process outlined above, or if a chargeback is determined to be fraudulent or without merit, Mindful Farms reserves the right to:


(a) Immediate Service Termination: Immediately suspend and/or terminate all services without notice or refund.


(b) Data Deletion: Delete all client data, websites, files, and backups associated with the account without any obligation to provide copies or migration assistance.


(c) Administrative Fee: Assess an administrative fee of $150.00 USD to cover the costs of responding to and processing the chargeback dispute.


(d) Collection Actions: Refer the outstanding balance, including the original charge, administrative fees, and any applicable interest, to a third-party collection agency.


(e) Credit Reporting: Report the delinquent account to credit bureaus in accordance with applicable law.


(f) Legal Action: Pursue all available legal remedies to recover amounts owed, including but not limited to filing suit in the appropriate court. Client agrees to pay all costs of collection, including reasonable attorneys’ fees.


(g) Industry Reporting: Report fraudulent chargeback activity to fraud prevention databases and industry organizations.


3.3 Chargeback Fraud Warning


WARNING: Initiating a chargeback for services that were properly rendered, or falsely claiming that a transaction was unauthorized when you did in fact authorize the payment, may constitute fraud. Chargeback fraud (also known as “friendly fraud”) is illegal and may result in criminal prosecution. Mindful Farms will cooperate fully with law enforcement and provide all relevant transaction records, communications, and evidence in cases of suspected chargeback fraud.

4. CANCELLATION POLICY

4.1 Client-Initiated Cancellation

You may cancel your services at any time by providing written notice to Mindful Farms via email. Cancellation requests must include your account information and a clear statement of intent to cancel.


Upon cancellation:


(a) No refunds will be issued for any fees already paid


(b) Services will remain active until the end of the current paid billing period


(c) You are responsible for backing up and migrating your data before the service termination date


(d) All data will be permanently deleted within thirty (30) days of service termination


(e) Any outstanding balances remain due and payable


4.2 Termination by Mindful Farms

Mindful Farms reserves the right to suspend or terminate services immediately and without refund for:


(a) Violation of our Terms of Service or Acceptable Use Policy


(b) Non-payment or repeated late payments


(c) Chargeback initiation without following proper dispute resolution procedures


(d) Loss of required business licenses or permits


(e) Illegal activity or activity that poses legal or reputational risk to Mindful Farms


(f) Fraudulent activity or misrepresentation


(g) Any other reason at Mindful Farms’ sole discretion


In cases of termination for cause, no refunds will be issued and client forfeits all rights to data stored on our systems.

5. PAYMENT AUTHORIZATION AND ACKNOWLEDGMENT


By providing payment information and completing a purchase, you expressly acknowledge and agree that:


(a) You are the authorized user of the payment method provided


(b) You authorize Mindful Farms to charge the payment method for all fees associated with your order


(c) You have read, understood, and agree to this Refund Policy


(d) You understand that all sales are final and non-refundable


(e) You agree to contact Mindful Farms directly before initiating any chargeback or payment dispute


(f) You accept full responsibility for all consequences of initiating an unauthorized chargeback


6. BILLING DESCRIPTOR


Charges from Mindful Farms will appear on your credit card or bank statement as “MINDFUL FARMS” or a similar descriptor. If you do not recognize a charge, please contact us immediately BEFORE contacting your bank or credit card company. Many chargebacks result from customers not recognizing legitimate charges on their statements.


7. LIMITED EXCEPTIONS


In rare and exceptional circumstances, Mindful Farms may, at its sole and absolute discretion, consider a refund request. Any exception to this policy:


(a) Must be requested in writing within seven (7) days of the original charge


(b) Must include a detailed explanation of the exceptional circumstances


(c) Is entirely at Mindful Farms’ discretion and does not establish precedent


(d) If granted, may be issued as account credit rather than monetary refund


The decision to grant any exception is final and non-appealable.


8. TRANSACTION RECORDS AND EVIDENCE


Mindful Farms maintains comprehensive records of all transactions, including but not limited to: order confirmations, payment authorizations, IP addresses, device information, email communications, service delivery records, and acceptance of terms. These records may be used as evidence in chargeback disputes, collection proceedings, or legal actions.


9. GOVERNING LAW


This Refund Policy shall be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising from this policy shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.

BY COMPLETING A PURCHASE OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS REFUND, CANCELLATION, AND CHARGEBACK POLICY. YOU FURTHER ACKNOWLEDGE THAT THIS IS A STRICT NO-REFUND POLICY AND THAT YOU WAIVE ANY RIGHT TO DISPUTE CHARGES EXCEPT THROUGH THE MANDATORY DISPUTE RESOLUTION PROCESS OUTLINED HEREIN.
