TERMS OF SERVICE
1. Introduction and Acceptance
Welcome to Mindful Farms. These Terms of Service (“Terms”) govern your access to and use of our website, products, and services (collectively, “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
Mindful Farms is a Colorado-based business-to-business (B2B) technology services company. We provide web hosting, website development, search engine optimization (SEO), and digital marketing services. We do not sell, distribute, handle, or process payments for any cannabis, hemp, CBD, or controlled substances.
2. Description of Services
Mindful Farms provides the following technology services:
- (a) Managed Web Hosting: Secure, compliant hosting infrastructure for websites and web applications.
- (b) Website Development: Custom website design, development, and maintenance services.
- (c) Search Engine Optimization (SEO): Services designed to improve website visibility in search engine results.
- (d) Digital Marketing: Online marketing services including content creation, social media management, and advertising support.
Our Services are provided exclusively to business clients operating in compliance with all applicable federal, state, and local laws within their respective jurisdictions.
3. Client Eligibility and Compliance Requirements
To use our Services, you represent and warrant that:
- (a) You are a legally established business entity or sole proprietor authorized to conduct business in your jurisdiction.
- (b) If operating in a regulated industry (including but not limited to cannabis, CBD, hemp, or medical services), you possess all required licenses, permits, and authorizations from applicable regulatory bodies.
- (c) You will provide documentation of legal compliance upon request, including but not limited to state licenses, business registrations, and certificates of good standing.
- (d) You will immediately notify Mindful Farms of any changes to your licensing or legal compliance status.
- (e) You are at least 18 years of age and have the legal capacity to enter into binding contracts.
Mindful Farms reserves the right to verify client compliance at any time and to terminate Services immediately if compliance cannot be verified or if a client’s legal status changes.
4. Acceptable Use Policy
You agree not to use our Services to:
- (a) Violate any applicable federal, state, local, or international law or regulation.
- (b) Host, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- (c) Infringe upon the intellectual property rights of any third party.
- (d) Distribute malware, viruses, or any other malicious code.
- (e) Engage in any activity that could damage, disable, or impair our servers or networks.
- (f) Attempt to gain unauthorized access to any systems or networks connected to our Services.
- (g) Send unsolicited bulk email (spam) or engage in any deceptive marketing practices.
- (h) Facilitate illegal transactions or sales of prohibited items.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of Services without refund.
5. Payment Terms
5.1 Fees and Charges
Our Services may include: (a) one-time setup fees charged at the commencement of Services; (b) recurring monthly fees for ongoing hosting and maintenance; and (c) ad hoc fees for additional services requested by the client. All fees will be clearly communicated prior to the commencement of Services or additional work.
5.2 Payment Methods
We accept payment via credit card, debit card, ACH bank transfer, and other methods as made available. By providing payment information, you authorize Mindful Farms to charge the applicable fees to your designated payment method.
5.3 Recurring Billing
For Services with recurring fees, you authorize Mindful Farms to automatically charge your payment method on a monthly basis until Services are cancelled. You will receive an invoice prior to each charge. It is your responsibility to ensure that your payment information remains current and valid.
5.4 Late Payments
Invoices are due upon receipt unless otherwise specified. Accounts with payments overdue by more than seven (7) days may be subject to service suspension. Accounts overdue by more than thirty (30) days may be terminated, and any associated data may be deleted. Mindful Farms reserves the right to assess late fees on overdue balances.
6. Refund and Cancellation Policy
6.1 Setup Fees
One-time setup fees are non-refundable once work has commenced. If you cancel before any work has begun, setup fees may be refunded at Mindful Farms’ discretion.
6.2 Monthly Hosting Fees
Monthly hosting fees are billed in advance and are non-refundable. You may cancel your hosting service at any time, and your service will remain active until the end of the current billing period. No prorated refunds will be issued for partial months.
6.3 Ad Hoc Services
Fees for ad hoc services (development work, consulting, etc.) are non-refundable once the work has been completed and delivered. For ongoing projects, refunds for incomplete work will be assessed on a case-by-case basis.
6.4 Chargebacks
If you believe you have been billed in error, please contact us immediately at the contact information provided below. We encourage you to resolve any billing disputes directly with us before initiating a chargeback with your financial institution.
Clients who initiate chargebacks without first attempting to resolve the dispute directly with Mindful Farms may have their Services terminated immediately.
7. Service Level and Support
Mindful Farms strives to maintain 99.9% uptime for hosted services. However, we do not guarantee uninterrupted service and shall not be liable for any damages resulting from service interruptions, whether scheduled or unscheduled. Technical support is available during normal business hours via email and phone.
8. Intellectual Property
8.1 Client Content
You retain all ownership rights to content you provide to us (“Client Content”). By providing Client Content, you grant Mindful Farms a limited license to use, copy, and display such content solely for the purpose of providing the Services.
8.2 Mindful Farms Materials
All materials, tools, templates, and methodologies developed by Mindful Farms remain our exclusive property. Upon full payment, you receive a license to use deliverables created specifically for you, but underlying frameworks and tools remain our property.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDFUL FARMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MINDFUL FARMS DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Mindful Farms, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable laws or regulations.
11. Termination
Either party may terminate Services at any time with fifteen (15) days written notice. Mindful Farms may terminate Services immediately and without notice if you breach these Terms, fail to pay fees when due, or if we reasonably believe your continued use of Services poses a legal or reputational risk. Upon termination, you remain responsible for all fees incurred through the termination date.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.
13. Modifications to Terms
Mindful Farms reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Effective Date” above. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
